These Terms of Service ("Terms") govern your access to and use of Bridge AI ("Bridge AI", "we", "us", or "our"), operated by Bridge Agency Limited, a company registered in Nairobi, Kenya. By creating an account or using any part of our platform you agree to be bound by these Terms and our Privacy Policy.
1. Acceptance of Terms
By clicking "I agree", creating an account, or otherwise accessing or using Bridge AI, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, you must not use our services.
2. Description of Services
Bridge AI is an AI workforce platform designed for Kenyan businesses. Our services include:
- AI agents (Sarah, Atlas, Nova, Echo) that automate customer conversations, bookings, and support
- Integration with third-party messaging platforms including WhatsApp Business API, Instagram, Facebook Messenger, and TikTok
- Automated booking, lead capture, and payment collection workflows
- Business analytics, conversation intelligence, and performance dashboards
- M-Pesa (Daraja API) and Stripe payment processing
- Template library and workflow orchestration tools
We reserve the right to modify, suspend, or discontinue any part of our services at any time, with reasonable notice where practicable.
3. Account Registration
To use Bridge AI you must register an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- Keep your password secure and not share it with third parties
- Notify us immediately at support@bridgeagency.co.ke if you suspect unauthorised access
- Take responsibility for all activities that occur under your account
You must be at least 18 years old and have the legal capacity to enter a binding contract to register. Businesses must be legally constituted entities.
4. WhatsApp Business API Integration
4.1 Your Responsibilities
When you connect your WhatsApp Business account to Bridge AI, you represent and warrant that:
- You are the authorised owner or administrator of the WhatsApp Business account you connect
- You have obtained all necessary permissions and consents from your end-users (customers) before sending them messages via WhatsApp
- Your use of the WhatsApp Business API complies with Meta's WhatsApp Business Policy and Commerce Policy at all times
- You will only send messages to users who have opted in to receive communications from your business
- You will not use the API to send spam, unsolicited bulk messages, or misleading content
4.2 Message Content
You are solely responsible for the content of all messages sent through Bridge AI via WhatsApp, including messages generated by AI agents based on your business knowledge base. You must ensure all message content:
- Complies with WhatsApp's messaging policies and content guidelines
- Does not contain prohibited content (adult content, violence, illegal goods/services, etc.)
- Identifies your business clearly in all communications
- Provides a clear opt-out mechanism where required
4.3 Data from WhatsApp
Bridge AI processes WhatsApp message data on your behalf as a data processor. Message content, sender information, and conversation metadata received via the WhatsApp Business API are stored to enable AI agent functionality and analytics. We do not sell or share WhatsApp message data with third parties outside of what is required to operate our service. You retain ownership of your customer conversation data.
4.4 Platform Suspension
Meta reserves the right to suspend or terminate WhatsApp Business API access for policy violations. Bridge AI is not liable for any suspension of your WhatsApp access resulting from your violation of Meta's policies.
5. TikTok Integration
5.1 TikTok Account Access
When you connect your TikTok Business or Creator account to Bridge AI, you authorise us to access your TikTok account data as permitted by TikTok's API. You represent that:
- You own or are authorised to manage the TikTok account(s) you connect
- You grant Bridge AI permission to read comments, direct messages, and account metrics as required to provide our services
- You will comply with TikTok's Terms of Service, Community Guidelines, and Developer Terms at all times
5.2 TikTok Data Use
Data accessed from your TikTok account through our integration is used exclusively to:
- Enable AI-automated responses to comments and direct messages
- Display engagement analytics on your Bridge AI dashboard
- Power lead capture and customer service workflows you configure
We do not use TikTok data to train AI models beyond your own AI agents. We do not sell TikTok account data or share it with advertisers.
5.3 TikTok Content Policy
All automated responses and content published via TikTok through Bridge AI must comply with TikTok's Community Guidelines. You are responsible for reviewing and approving AI-generated content before publication where TikTok's policies require human oversight.
5.4 API Access Revocation
You may revoke Bridge AI's access to your TikTok account at any time through TikTok's app settings or through your Bridge AI Integrations dashboard. Upon revocation, we will cease accessing your TikTok data within 24 hours and delete stored TikTok access tokens.
6. Other Social Media Platform Integrations
Bridge AI may integrate with additional platforms including Instagram, Facebook Messenger, and others. When connecting any third-party platform:
- You grant Bridge AI only the minimum permissions necessary to provide the requested functionality
- You remain bound by the terms of service of each connected platform
- You may revoke access to any connected account at any time through your Bridge AI Integrations settings
- We are not responsible for changes to third-party APIs that affect our integration functionality
7. Data Collection and Privacy
Bridge AI collects and processes data as described in our Privacy Policy, which is incorporated into these Terms by reference. Key points:
- Account data: Name, email, phone number, business details
- Customer conversation data: Messages, booking information, and interaction history from your connected channels
- Platform usage data: Dashboard activity, feature usage, and performance metrics
- Payment data: Transaction records processed via M-Pesa (Daraja) and Stripe — card and M-Pesa numbers are not stored by Bridge AI
We process your data in compliance with the Kenya Data Protection Act, 2019. You are the data controller for your customers' data; Bridge AI acts as your data processor.
8. Your End-Users (Your Customers)
Bridge AI's AI agents interact directly with your customers on your behalf. You are responsible for:
- Obtaining all necessary consents from your customers before enrolling them in automated messaging flows
- Disclosing to your customers that they may be interacting with an AI agent, where required by applicable law or platform policy
- Ensuring your use of customer data complies with the Kenya Data Protection Act and any other applicable data protection laws
- Providing your customers with a clear way to opt out of automated communications
- Handling customer complaints or escalations that your AI agents cannot resolve
Bridge AI is not responsible for disputes between you and your customers arising from the content of AI-generated messages.
9. AI Agent Behaviour
Bridge AI's AI agents are powered by large language models and trained using the business information you provide during onboarding. You acknowledge and agree that:
- AI-generated responses may occasionally be inaccurate, incomplete, or unexpected
- You are responsible for reviewing and updating your AI knowledge base to ensure accuracy
- You will not hold Bridge AI liable for customer decisions made based on AI-generated information
- You will not use AI agents to mislead, manipulate, or deceive customers
- Critical business decisions (medical, legal, financial advice) should not be delegated to AI agents without appropriate disclaimers
10. Acceptable Use Policy
You agree not to use Bridge AI to:
- Send spam, phishing messages, or unsolicited bulk communications
- Violate any applicable law, regulation, or third-party rights
- Collect data from minors without appropriate parental consent
- Engage in deceptive, fraudulent, or misleading practices
- Transmit malicious code, viruses, or interfere with platform infrastructure
- Scrape, crawl, or extract data from Bridge AI beyond normal API usage
- Resell or sublicense Bridge AI services without our written consent
- Impersonate another business, person, or entity
We reserve the right to suspend or terminate accounts that violate this policy without prior notice.
11. Subscription and Billing
Bridge AI offers subscription plans billed in Kenyan Shillings (KSh). By subscribing you authorise us to charge your designated payment method on a recurring basis. Additional terms:
- Auto-renewal: Subscriptions renew automatically unless cancelled before the renewal date
- Price changes: We will notify you at least 30 days before any price increase
- Refunds: We handle refund requests on a case-by-case basis. Contact us within 7 days of a charge if you have billing concerns
- Suspension: We may suspend your account if payment fails, with 7 days' notice to resolve the issue
- Downgrade: Downgrading your plan takes effect at the end of your current billing period
12. Intellectual Property
Bridge AI and its content, features, and functionality are owned by Bridge Agency Limited and are protected by intellectual property laws. You retain ownership of all data you input into Bridge AI. You grant us a limited, non-exclusive licence to use your data solely to provide and improve our services.
You may not copy, modify, distribute, or reverse-engineer any part of our platform without written permission.
13. Termination
Either party may terminate this agreement at any time. Upon termination:
- Your access to Bridge AI will cease immediately
- Your data will be retained for 30 days and then permanently deleted, unless you request earlier deletion
- Connected platform integrations (WhatsApp, TikTok, etc.) will be disconnected
- Outstanding subscription fees remain due
We reserve the right to terminate accounts immediately and without notice for serious violations of these Terms or applicable law.
14. Limitation of Liability
To the maximum extent permitted by Kenyan law, Bridge AI is provided "as is" without warranties of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or secure.
We are not liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from third-party platform changes or outages (WhatsApp, TikTok, M-Pesa, etc.)
- Actions of AI agents based on inaccurate information you have provided
Our total aggregate liability shall not exceed the amount you paid us in the three months preceding the claim.
15. Governing Law and Disputes
These Terms are governed by the laws of Kenya. Any disputes arising from or relating to these Terms or your use of Bridge AI shall be resolved in the courts of Nairobi, Kenya. You agree to attempt to resolve disputes informally by contacting us at legal@bridgeagency.co.ke before initiating formal proceedings.
